Conditions governing the supply of services by Coolmate Air Solutions Pty Ltd.
In these Terms of Service, "we", "us" and "our" refer to Coolmate Air Solutions Pty Ltd (ABN 98 691 029 026, ACN 691 029 026). "You" and "your" refer to the customer or user of our services. "Services" means any HVAC, air conditioning, refrigeration, ventilation or related work provided by us.
These Terms of Service govern all services provided by us to you. By engaging our services, you agree to be bound by these terms. They supersede any prior agreements or understandings. No variation of these terms is effective unless agreed in writing by both parties.
All quotes are valid for 14 days from the date of issue unless stated otherwise. Prices are in Australian dollars (AUD) and include GST where applicable. Any additional work outside the scope of the original quote will be quoted separately and requires your approval before proceeding.
Payment is due as specified in the invoice. Failure to pay on time may result in suspension of services and recovery of outstanding amounts. We reserve the right to charge interest on overdue amounts at the rate prescribed by law.
Our services come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the services resupplied if they fail to be of acceptable quality. Nothing in these terms is intended to exclude, restrict or modify the application of the ACL or any other applicable consumer protection law.
To the maximum extent permitted by law, our liability for any claim arising out of or in connection with our services is limited, at our option, to the resupply of the services or the cost of having the services resupplied. We are not liable for any indirect, incidental, special or consequential loss or damage, including but not limited to loss of profits, business interruption or loss of data.
All intellectual property rights in any materials, designs, documentation or methodologies provided by us in connection with our services remain our property. You may not reproduce, distribute or use any such materials without our prior written consent.
You agree to provide safe and reasonable access to the premises and to disclose any relevant information that may affect the safe delivery of our services. You are responsible for ensuring that all required approvals or permits are obtained where necessary.
Either party may terminate an engagement by providing written notice. In the event of termination, you remain liable for all work completed and costs incurred up to the date of termination. We may terminate immediately if you breach a material term of this agreement and fail to remedy the breach within 7 days of notice.
These Terms of Service are governed by the laws of the State of Victoria, Australia. Both parties submit to the exclusive jurisdiction of the courts of Victoria.
These terms constitute the entire agreement between the parties with respect to the subject matter and supersede all prior communications, representations and agreements.
